Supervisors of Mathematics
Constitution

Article 1
Name
The name of this organization shall
be the Pennsylvania Council of Supervisors of Mathematics.
Article II
Purpose
The purpose of the Pennsylvania
Council of Supervisors of Mathematics shall be:
- To provide for the interchange of evolving ideas
and current research for mathematics education;
- To cooperate with other organizations in the
improvement of instruction, and in curriculum planning in mathematics;
- To maintain a continuing program which will provide
for analysis of problems pertaining to all aspects of mathematics
education and to develop proposals of possible solutions to such problems;
- To offer leadership to all who are concerned with
mathematics education in the state.
Article III
Members
Section 1: The membership of this
organization shall be limited to the following classes: A. Regular; B. Life; C.
Institutional; D. Retired.
Section 2: A. Regular Membership shall be granted to anyone interested in
leadership in mathematics education, who has paid current annual dues. B. Life
Membership Life membership dues shall
be equal to fifteen times the current annual dues in a single payment or in
equal payments over a four year period.
C. Institutional Membership D. Retired Membership may be granted to any retired person who has
been a member in good standing for 10 years. Retired membership dues shall be
equal to one-half the current annual dues. shall be granted to those who meet the requirements for Regular
membership.
shall be granted to any school, library, other public institution or publishing
company upon yearly payment of one and a half times the annual dues for regular
members.
Section 3: Every member shall be entitled to cast one
vote in elections and business meetings, to make motions and to hold office.
Section 4: The annual dues shall be determined by the
Executive Board with the approval of two-thirds of those members present at the
annual business meeting.
Section 5: For purposes of membership, the fiscal year
shall be the time from the beginning of one annual meeting to the start of the
next annual meeting.
Section 6: Membership will be
terminated for non-payment of dues with a grace period in operation for one
year after the adjournment of the annual meeting.
Article IV
Officers
Section 1: The elected Officers of the organization
shall be President, President Elect, Secretary, and Treasurer/Membership.
Section 2: The elected Officers
must be current members.
Section 3: All elected Officers
shall serve two year terms. Officers
shall be installed at the annual meeting.
Section 4: Candidates for President
shall have been active members of PCSM for at least two (2) years prior to
their candidacy. The President will be
elected every other year, and Serve as President Elect for one year before
being installed as President.
Section 5: The Immediate Past
President shall appoint, with the approval of the Executive Board, the
nominating committee, one year before the annual meeting at which the Officers
to be elected are installed.
Sections 6: In the Spring
Newsletter, following the appointment of the nominating committee by the Immediate
Past President, notification shall be sent to the membership announcing the
offices to be filled. All members
wishing to make nominations for these offices shall submit the nominees’ names
to the committee by the following month.
A ballot with one or more nominations for each office shall be
distributed to the membership by September 1 for election.
Section 7: To be counted, ballots
must be postmarked not later than October 1.
Section 8: The newly elected Officers shall be installed
at the annual meeting and assume their offices immediately after the close of
the annual meeting.
Section 9: No member shall hold
more than one office at a time. The President
shall be eligible to serve no more than two consecutive terms in the same
elected office.
If the current president is elected
for a second term, there will not be a president-elect until the next
presidential election. The President shall appoint a program chairperson for
the annual meeting until the next election.
Section 10: A resignation from
office shall be sent to the President, who shall refer it to the Executive
Board.
Section 11: In the case of vacancy in the office of the
president, the President Elect shall become president automatically, completing
the unexpired term and his/her own term as well. In the case of vacancy in the office of the
President, in the year where there is no President Elect, a new election for
President will be held or the Immediate Past President can fulfill the term, as
decided by the Executive Board.
Section 12: If the office of secretary or
treasurer/membership is vacated during a term of office, the president shall
appoint a member of the Executive Board to serve the unexpired term.
Section 13: If the office of President Elect is vacated
between elections, a new election for president will be held.
Section 14: The duties of all appointed Officers and
committees shall be proscribed by the Executive Board.
Article V.
Duties of Officers
Section 1: The President as
principal executive officer shall direct the policies and activities of the
council; shall preside over all meetings of the Executive Board, the annual
meeting and other general meetings of the council and, with the approval of the
Executive Board, shall appoint an NCTM Representative, two PCTM Representatives,
a newsletter editor, an Historian, an awards committee chairperson, a
government relations representative and all committees not otherwise
specified. The President is an ex
officio member of all committees except the nominating committee.
Section 2: The President Elect shall serve as chairman
of the Program Committee for the annual meeting; preside at meetings in the
absence of the President, and perform such other functions as may be assigned
by the President and/or the Executive Board.
Section 3: The Immediate Past President shall serve as
an advisor to the Executive Board, a member of the nominating committee, as
officer in charge of publications and surveys approved by the Executive Board
and as Program Chairperson in the absence of a president elect.
Section 4: The Secretary shall take minutes of each
annual and/or special meeting, and each meeting of the Executive Board. These shall be filed with the Executive Board
and copies provided to all members. The
Secretary shall issue notices of meetings; preserve all document and records,
and transmit them to his/her successor.
Section 5: The Treasurer/Membership shall receive all
monies of the Council and provide for their safekeeping; pay all authorized
bills; keep a record of all receipts and expenditures of the Council; make
reports at the annual meeting and special reports whenever called upon by the
President; submit books for audit every two years; preserve the financial
records and transmit them to his/her successor.
Section 6: All elected and
appointed Officers shall submit an annual report to the membership at the
annual meeting. Copies of the
Treasurer/Membership Report and minutes shall be housed with the permanent
records maintained by the Historian.
Article VI
Meetings
Section 1: The annual meeting of
the Council shall be held in connection with the annual Meeting of the
Pennsylvania Council of Teachers of Mathematics and at the same location.
Section 2: Additional meetings of
the Council shall be held at the call of the President or the Executive Board. All members must be notified in writing
postmarked 30 days prior to the special meeting.
Section 3: At least 10% of the membership shall
constitute a quorum at the annual business.
Section 4: The business of the Council shall be
transacted at the annual meeting.
Article VII
The
Executive Board
Section 1: The elected and appointed Officers of the
organization, the NCTM representative, the PCTM representative, the Historian,
the newsletter editor, government relations representative and chairpersons of
committees shall constitute the Executive Board.
Section 2: The Executive Board shall have general
direction and supervision of the affairs of the organization; make
recommendations to the membership; have the power to transact business in the
name of the council; assist the Officers in carrying out the activities of the
council; approve all expenditures; report all its official acts to the
membership; be responsible for all publications and prepare an agenda for the
annual meeting.
Section 3: The Executive Board
shall meet at the annual meeting.
Section 4: A simple majority of the
Executive Board shall constitute a quorum. Two of those present must be elected
Officers and must include at least one of the following: The President,
Immediate Past President or President Elect.
Duties of the Appointed Members of the
Executive Board
The NCTM Representative shall
attend the national NCTM conference delegate assembly and report back to the
PCSM membership.
The PCTM Representative shall
prepare a PCSM report for the PCTM board meetings, attend the PCTM board
meetings and report actions of the Board to the Executive Committee or
membership as relative to PCSM.
The Historian shall preserve all
committee reports, annual meeting programs, newsletters, annual meeting and
executive committee minutes, finance and membership reports and any special
surveys or reports originated by the Executive Board or membership, and copies
of the Constitution. A list of award
recipients should also be maintained.
The Newsletter editor shall prepare
a newsletter three (3) times a year and distribute it to the membership.
The Government Relations
Representative shall report state and federal policies of interest to the membership.
Article VIII
Committees
Section 1: The Program Committee
shall arrange the program for the annual meeting.
Section 2: The Awards Committee,
under the direction of the chairperson, shall canvas the membership for
candidates for the following awards: Distinguished Service, Outstanding
Contribution to PCSM, Outstanding Contribution to Supervision, Hall of Fame and
Past President. The criteria for each
award shall be maintained by the committee chairperson.
Section 3: Additional committees shall be formed by the President
in consultation with the Executive Board as needed.
Article IX
Parliamentary
Authority
The rules contained in the latest
edition of Robert’s Rules of Order shall govern this organization in all cases
in which they are not consistent with this constitution.
Article X
Amendment
All proposed amendments or
revisions to the constitution shall be referred first in writing to the Executive
Board at least ninety (90) days prior to the annual meeting. This constitution
may be amended or revised at the annual meeting by a majority vote of members
registered at the annual meeting provided the proposed amendment has been
submitted to the membership at least thirty (30) days prior to the annual
meeting.
Article XI
Affiliations
PCSM is an affiliate of NCTM and
PCTM.
Article XII
Policy
Section 1: The Pennsylvania Council of Supervisors of
Mathematics is a non-profit organization and as such shall not use funds for
the personal benefit of its members, or other private persons, except that the
organization shall be authorized to pay reasonable compensation for services
rendered and to make payments and distributions in furtherance of the purposes
set forth in Article II hereof. No
substantial part of the activities of the organization shall be the carrying on
of propaganda, or otherwise attempting to influence legislation, and the
organization shall not participate in, or intervene in (including the
publishing or distribution of statements) any political campaign on behalf of
an candidate for public office.
Notwithstanding any other provision of this constitution, the
organization shall not carry on any other activities not permitted to be
carried on (a) by an organization exempt from Federal income tax under section
501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding
provision of any future United States Internal Revenue Law) or (b) by an
organization, contributions to which are deductible under section 170 (c) (2)
of the Internal Revenue Code of 1954 ( or the corresponding provision of any
future United States Internal Revenue Law).
Section 2: If at any time the Pennsylvania Council of
Supervisors of Mathematics shall cease to carry out the purposes as herein
stated, all assets and property held by it, whether in trust or otherwise,
shall, after the payment of its liabilities, be paid over to an organization,
selected by the final Executive Board of the Pennsylvania Council of
Supervisors of Mathematics, and, which has similar purposes and has established
its tax-exempt status under Section 501 (c) (3) of the Internal Revenue Code of 1954 as now
enacted or as it may hereafter be amended, and such assets and property shall
be applied exclusively for such charitable, scientific and educational
programs.
